We advise on regulatory matters and on all issues of contract law, such as those arising in connection with the bank/client business relationship, account management and the securing of credit.
In connection with finance transactions we advise international and domestic banks as well as borrowers on all legal aspects of lending and borrowing. We have broad experience in structuring, drafting and reviewing the legal documentation of syndicated loans, stand-alone loans, acquisition and leveraged finance, export and trade finance, project finance and real estate finance as well as the related security package. In the context of restructurings we also advise on domestic and international insolvency law matters. We further assist trading companies, banks and rating agencies with securitization transactions
In the area of capital markets and securities regulation we advise investment banks acting as underwriters as well as international and domestic issuers on all types of securities offerings, admissions to listing and continuous compliance. Our advice encompasses the whole process from the due diligence and documentation (including the drafting of offering and listing documents) through clearance with the regulators and listing authorities to marketing and distribution and compliance. Our expertise covers IPO and secondary offerings, rights issues and quick-to-market transactions, private placements and block trades. Apart from traditional equity and debt instruments (high yield as well as investment grade) it covers hybrid instruments like (reverse) convertible and exchangeable bonds as well as other participations and certificates. Apart from such capital funding matters we advise international and domestic investments funds (UCITS and non-UCITS) and other investment vehicles with respect to fund structuring and distribution of their interests in Germany. In addition, we have been successful in defending our clients against prospectus liability claims, most of these involving complex dispute resolution and securities issues.
