Corporate Law, mergers and aquisitions
From its beginnings, our firm has focused on corporate law. We advise listed companies on corporate structuring and finance, governance, management liability, stock options and other incentive programs, on extraordinary and on routine corporate issues. We also advise closely held companies.
We are particularly strong in mergers and acquisitions and other corporate transactions, such as share deals, asset deals (including asset purchases from bankrupt estates), take-over offers and reorganizations. Many transactions in which we are involved are cross-border transactions, often with the participation of investors of Anglo-Saxon origin. In our M&A practice, we draw also on our experience in other areas of law relevant in the context of a transaction (including labor law).
Another focus of our firm is private equity and venture capital. We are also being retained in critical situations during the life of a company, including complex disputes among shareholders, crisis management and succession planning.
